Terms of Service

1. Acceptance of Terms

By accessing or using The Living Company ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

The Living Company is an AI-powered strategic planning platform using the Strategic Learning framework. The Service guides organizations through a four-phase strategic planning process (Learn, Focus, Align, Execute) using artificial intelligence.

3. Account Registration and Security

To use the Service you must create an account with a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Organization Data and Multi-Tenancy

The Service operates on a multi-tenant basis. Each organization's data is logically separated:

• Strategic plans, organization data, and conversations are scoped to your organization
• Only members of your organization can access its data, subject to their assigned role
• You are responsible for the accuracy and legality of the data you input

5. Roles and Permissions

Organization members are assigned roles that determine their level of access:

• Owner: Full access including the ability to delete the organization
• Admin: All functions except deleting the organization
• Consultant: Can run planning processes and invite members as member or observer
• Member: Can view, create, and edit content
• Observer: View-only access

Organization owners and admins are responsible for managing member access appropriately.

6. AI-Generated Content Disclaimer

The Service uses Anthropic's Claude AI to provide strategic planning guidance. You acknowledge that:

• AI-generated content is provided for informational and planning purposes only
• AI outputs may contain inaccuracies, biases, or incomplete information
• You should independently verify any AI-generated analysis before making business decisions
• The Living Company does not guarantee the accuracy, completeness, or suitability of AI-generated content
• AI responses do not constitute professional business, legal, or financial advice

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to other users' data or accounts
• Interfere with the operation or security of the Service
• Use the AI features to generate harmful, deceptive, or illegal content
• Scrape, crawl, or automated-access the Service without permission
• Resell or redistribute the Service without authorization

8. Intellectual Property

• Your Content: You retain ownership of the data and content you input into the Service. By using the Service, you grant us a limited license to process your content as necessary to provide the Service.
• Our Service: The Living Company, its design, features, and underlying technology are our intellectual property. You may not copy, modify, or create derivative works of the Service.
• Strategic Learning Framework: The Strategic Learning methodology referenced in the Service is used for educational and strategic planning purposes.

9. Invitations

Organization members with appropriate permissions can invite others to join their organization via email. Invitation tokens expire after 7 days. The inviter is responsible for ensuring invitations are sent to the correct email addresses.

10. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind
• We do not warrant that the Service will be uninterrupted, error-free, or secure
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim

11. Termination

• You may close your account at any time by contacting us
• We may suspend or terminate your access for violation of these Terms
• Organization owners may delete their organization and all associated data
• Upon termination, your right to use the Service ceases immediately

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice within the Service at least 30 days before they take effect.
